TRIANGLE LIQUIDATORS — TERMS AND CONDITIONS

1. Acceptance; Definitions; Updates
These Terms and Conditions (the “Terms”) govern your access to and use of Triangle Liquidators’ websites, mobile applications, and related services (collectively, the “Platform”), and your participation in any auction or other selling event conducted by Triangle Liquidators, LLC (“Triangle Liquidators,” “TL,” “we,” “us,” or “our”). By accessing the Platform, creating an account, placing a bid, purchasing any item, or otherwise using the Platform, you agree to be bound by these Terms.
For purposes of these Terms, “Buyer,” “you,” and “your” mean the individual user and, if applicable, the business entity the individual represents. “Item” or “Lot” means any merchandise offered for sale through the Platform. “Auction” includes any online auction, sealed bid, negotiated sale, or other selling event offered by TL.
We may update these Terms from time to time. Updated Terms will be posted on the Platform and become effective when posted. Your continued use of the Platform after an update constitutes acceptance of the updated Terms.
2. Eligibility; Account Registration; Identity Verification; Security
You must be at least eighteen (18) years old and able to form a legally binding contract to use the Platform. Account registration is required to bid and purchase. You agree to provide accurate, current, and complete information and to promptly update your account information as needed.
TL may require identity verification (including photo identification) and may approve, deny, suspend, or terminate accounts in its sole discretion, including for nonpayment, failure to pick up, suspected fraud, policy violations, or to protect TL’s operations.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account, whether authorized by you or not. You must promptly notify TL of any suspected unauthorized access or security breach.
3. Communications (Email and Text Messaging)
By providing contact information to TL (including email and mobile number), you consent to receive transactional and informational communications related to your account, auctions, purchases, pickup, and Platform operations.
3.1 Text Messaging Consent
By creating an account, verifying your phone number, or otherwise providing your mobile number, you expressly consent to receive text messages from TL (and service providers acting on TL’s behalf). Messages may include one-time passcodes, account verification codes, auction updates, pickup reminders, and other transactional messages. Message frequency may vary; message and data rates may apply. You may opt out at any time by replying STOP to any message or by contacting us at bid@triangleliquidators.com. For help, reply HELP. Your consent to receive text messages is not a condition of any purchase.
4. Auctions; Bidding; Lot Closing; Reserves; Errors; Cancellations
By placing a bid, you make an irrevocable offer to purchase the Item at your bid price. Bids cannot be retracted. If you place a bid in error, you must notify TL immediately; however, TL may hold you responsible for the bid and the purchase.
Lot closing times are published on the Platform. TL may use dynamic bidding extensions (e.g., extending closing times when bids are placed near the scheduled close) and is not responsible for notifying you of changes to closing times. You are responsible for ensuring your bids are submitted before lot close.
Unless otherwise stated, Items may be offered with reserve, subject to seller confirmation, or subject to TL’s right to reject bids or cancel or re-list lots. TL may cancel an Auction or any sale due to error, suspected fraud, nonpayment, technical malfunction, or other reasons, including where a technology malfunction materially affects the outcome of an Auction.
TL may (i) refuse registration, bids, or offers; (ii) remove or change listings; (iii) discontinue selling events; and/or (iv) exclude any user whose conduct TL believes may adversely affect TL, other users, sellers, or auction integrity.
5. Item Descriptions; Inspection; AS-IS Sale; No Returns
Most TL merchandise originates from returns, overstock, liquidation, and similar sources. TL attempts to provide photos and descriptions, but TL does not test or guarantee items unless explicitly stated in the lot details. Bid based on the photos and description and assume missing parts or defects are possible.
ALL ITEMS ARE SOLD “AS IS,” “WHERE IS,” WITH ALL FAULTS, AND WITH NO RETURNS OR REFUNDS, except where TL expressly provides otherwise in writing for a specific Item. Any inspection opportunity (if offered) is your responsibility to use before bidding and/or before leaving TL’s premises at pickup.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Any manufacturer warranty, if any, is solely between you and the manufacturer, and TL makes no representation that any manufacturer warranty exists or is transferable.
6. Prices; Buyer’s Premium; Processing Fees; Taxes; Payment
In addition to the winning bid amount, Buyers are responsible for any applicable fees and taxes. Unless otherwise stated for a specific auction or item, TL charges a fifteen percent (15%) buyer’s premium. TL may also charge payment processing fees (for example, a three percent (3%) card fee) and other service charges as disclosed at checkout or in auction terms.
Sales tax will be collected where required unless you provide a valid exemption certificate acceptable to TL (for example, a North Carolina Form E-595E or other applicable exemption documentation) on file prior to payment.
Payment timing and accepted payment methods may vary by auction, item, and location. Unless TL states otherwise in auction-specific terms, full payment (including all fees and taxes) is due prior to release of any Item. TL may require a valid payment method on file and you authorize TL to charge your payment method for amounts due under these Terms, including buyer’s premium, taxes, processing fees, storage fees, reinstatement fees, re-auction fees, or other amounts you owe.
Payment Timing. Unless TL expressly states otherwise for a specific auction or Item, payment is due at pickup. TL will not release Items until payment is received in full (including buyer’s premium, fees, and taxes). Account Verification and Payment Method on File. TL may require a valid payment method on file and may use payment verification and fraud-prevention tools (including credit card verification and/or authorization holds through Stripe or similar providers). Policy Changes. TL may transition some or all auctions to require payment at auction close or within a stated period after auction close; any such change will be disclosed on the Platform and/or in auction-specific terms.
7. Pickup; Removal; Load-Out; Risk of Loss
TL operates as a local pickup business and does not ship Items. Pickup locations and pickup windows will be posted in the auction and/or in your invoice. You (or your authorized agent) must present appropriate identification and/or order information at pickup.
You are solely responsible for safely loading, transporting, and securing your Items. Bring adequate help, tools, and appropriate vehicle or trailer. TL is not responsible for loading or for damage to Items after release. You assume all risk of loss and responsibility for Items upon release to you or your agent (or earlier if specified in auction terms).
Authorized Pickup. If someone other than the registered Buyer will pick up, Buyer must provide written authorization naming the authorized agent, and the authorized agent must present a government-issued photo ID. TL may refuse release if TL cannot verify authorization and identity to its satisfaction.
8. Pickup Deadlines; Storage Fees; Abandoned Property; Nonpayment; Account Suspension
Unless a specific auction states otherwise, you have seven (7) calendar days from the invoice date to pay for and pick up your Items. TL may deactivate or suspend accounts for failure to pay or pick up.
If an Item is picked up after the seven (7) day period, TL may assess a storage fee (currently $10 per day per lot) starting on day eight (8) after the invoice date, and you authorize TL to charge this amount to your payment method on file.
Any Item that is not picked up within seven (7) days after the invoice date may be deemed abandoned, re-sold or re-auctioned at TL’s discretion, and you will receive no refund. You remain responsible for any unpaid fees, storage, and/or disposal costs.
If you fail to pay for an Item within TL’s posted payment period (or within seven (7) days after the invoice date, if no other period is stated), TL may cancel the sale, suspend your account, and re-auction the Item. If an Item must be re-auctioned due to your failure to pay or pick up, TL may charge a reinstatement fee (currently $100 per lot) to reopen your account, and you authorize TL to charge such fees to your payment method on file.
9. Shortage, Damage, and Dispute Claims; Chargebacks
Because our auctions sell liquidation and returned goods, we do not offer standard returns.
Claims Process (Mislisted / Not as Described). If you believe an Item was mislisted or does not reasonably match its description or photos, please contact bid@triangleliquidators.com to initiate a claim. All claims must be submitted within seventy-two (72) hours after you receive the Item (generally, the time of pickup/release). TL may require photos, documentation, and/or inspection as part of the claims process.
TL reserves the right, in its sole discretion, to determine whether a claim is valid and the appropriate resolution (which may include correction, partial credit, or other remedy). TL may require the Item to be returned before any resolution is provided. No claims will be considered after the 72-hour period.
Chargebacks and payment reversals undermine TL’s ability to operate. If you initiate a chargeback, TL may suspend or terminate your account, and you agree to reimburse TL for all costs and fees associated with investigating and responding to the chargeback, including bank fees, administrative costs, and reasonable attorneys’ fees where allowed by law.
10. Acceptable Use; Prohibited Conduct
- You may not use the Platform for unlawful, fraudulent, abusive, or deceptive activity.
- You may not engage in bid manipulation, collusion, shill bidding, or attempts to circumvent TL’s systems or policies.
- You may not scrape, harvest, data-mine, or use bots to access the Platform without TL’s prior written consent.
- You may not transmit malware, viruses, or harmful code, or attempt to gain unauthorized access to accounts or systems.
TL may investigate suspected violations and may suspend or terminate accounts, cancel bids or sales, and pursue any lawful remedies.
11. Intellectual Property; User Content
The Platform, including its content, design, software, trademarks, and logos, are owned by TL and/or its licensors and are protected by intellectual property laws. You receive a limited, non-transferable license to access and use the Platform for your personal or internal business use consistent with these Terms.
If you submit reviews, photos, comments, or other content to TL (“User Content”), you grant TL a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, distribute, display, and create derivative works from such User Content in connection with TL’s business and the Platform.
12. Disclaimers; Limitation of Liability
THE PLATFORM AND ALL SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TL DOES NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION OF THE PLATFORM.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TL OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SELLERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OF GOODWILL), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TL’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE PLATFORM OR ANY ITEM WILL NOT EXCEED THE AMOUNT YOU PAID TO TL (EXCLUDING TAXES) FOR THE SPECIFIC ITEM GIVING RISE TO THE CLAIM.
13. Indemnification; Release
You agree to defend, indemnify, and hold harmless TL, its affiliates, and their respective officers, directors, employees, agents, and sellers from and against any claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Platform; (b) your breach of these Terms; (c) your purchase, possession, use, or resale of any Item; (d) your negligence or misconduct; or (e) your violation of any law or third-party rights.
You release TL from any and all claims arising out of disputes between you and other users, buyers, or sellers, to the fullest extent permitted by law.
14. Dispute Resolution; Arbitration Agreement; Class Action Waiver; Jury Trial Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
14.1 Informal Resolution
Before initiating arbitration or litigation, you agree to first contact TL at bid@triangleliquidators.com and provide a brief written description of your dispute and the relief you seek. The parties will attempt to resolve the dispute informally within thirty (30) days.
14.2 Binding Arbitration
Except for (a) individual claims in small claims court if the claim qualifies and remains in small claims court, or (b) requests for injunctive relief related to unauthorized access, intellectual property, or fraud, any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or any purchase shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules (or Consumer Rules if applicable). Arbitration will be conducted by a single arbitrator and will take place in Wake County, North Carolina, unless the parties agree otherwise.
The arbitrator may award only individual relief and may not award relief for or against anyone who is not a party to the arbitration. The arbitrator may not award punitive or consequential damages to the extent prohibited by law and consistent with these Terms. Judgment on the award may be entered in any court of competent jurisdiction.
14.3 Class Action Waiver
YOU AND TL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, PRIVATE ATTORNEY GENERAL, OR CONSOLIDATED PROCEEDING.
14.4 Jury Trial Waiver
TO THE EXTENT ANY DISPUTE IS NOT SUBJECT TO ARBITRATION, YOU AND TL KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY.
14.5 Opt-Out
You may opt out of the arbitration agreement and class action waiver by sending a written notice within thirty (30) days of the date you first accept these Terms. Your notice must include your name, account email, and a clear statement that you wish to opt out. Send the notice to: Triangle Liquidators, LLC — Legal Department, 1101 Transport Dr, Raleigh, NC 27603. If you opt out, Section 15 (Governing Law & Venue) will apply.
15. Governing Law; Venue (If Arbitration Opt-Out or Not Applicable)
These Terms are governed by and interpreted in accordance with the laws of the State of North Carolina, without regard to conflict-of-law principles. If arbitration is not applicable or you have opted out under Section 14.5, you agree that any judicial proceeding will be brought exclusively in the state or federal courts located in Wake County, North Carolina, and you consent to personal jurisdiction and venue in those courts.
16. Miscellaneous
- Severability. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
- Assignment. You may not assign these Terms without TL’s prior written consent. TL may assign these Terms freely.
- Force Majeure. TL is not liable for delays or failures caused by circumstances beyond TL’s reasonable control.
- No Waiver. TL’s failure to enforce any right is not a waiver of that right.
- Entire Agreement. These Terms and any auction-specific terms form the entire agreement between you and TL regarding the Platform and purchases.
